take a copy of the existing orapwd.ora file and delete the original. Then use the orapwd utility and create a orapwd file in the same path as of the original orapwd.ora file.

    c:\orapwd file=c:\oracle\orapwd.ora password=newpassword

If I'm not mistaken in 8.0.* you have your internal password written in plain text in %ORACLE_HOME%\database\startSID.bat (or something like that). In that .bat (or is it .cmd?) you have ORADIM command that ammong other things contains PASSWORD paramater - that should be your internal password.

Of course, that is truw only if you have configured your instance to automaticaly start the database when the service is started.
