After i clone DB or created DB already. It seem like i set wrong value of parameter "nls_lang" and "nls_territory" The point is...can i alter the to new value permanently!!! if so, how ??

If you have 9i or 10g with an spfile then do this.
Otherwise find your pfile and change it there. It should be in $ORACLE_BASE/admin/sidname/pfileCode:ALTER SYSTEM SET nls_lang='AMERICA'
SCOPE=BOTH;
ALTER SYSTEM SET nls_territory='AMERICA'
SCOPE=BOTH;
or if you are running Windows contrary to Jeff's good guidance then it would be:
$ORACLE_BASE\admin\sidname\pfile
NLS_LANG is not an initialisation parameter, it's only enviroment variable. So you can't set it for the database, neither with "ALTER SYSTEM SET ..." statement nor by editing init file. You can set it only on your OS level.
How could I do that??

Depends on your OS. Ask your sysadmin to axplain you about enviroment variables....
